ABREL Completes ₹3,498 Crore Pulp and Paper Divestment to ITC

Aditya Birla Real Estate Limited confirmed on August 1, 2026, the completion of its slump sale of the 'Century Pulp and Paper' business to ITC Limited. The transaction was approved by shareholders on July 30, 2025, and finalized on August 1, 2026.

Transaction Details

The slump sale involved the Company's Pulp and Paper undertaking situated in Lalkuan, Uttarakhand. The transfer was for a lump-sum cash consideration of Rs. 3498 Cr., paid by ITC to ABREL. The deal includes the transfer of all associated assets, liabilities, and employees, marking a strategic shift for the company.

The terms and conditions of the sale were detailed in a Business Transfer Agreement originally entered into on March 31, 2025, with subsequent amendments and modifications considered. The Competition Commission of India approved the proposed acquisition vide its letter dated December 16, 2025.

Strategic Rationale and Implications

The divestment of the Pulp and Paper undertaking is a value unlocking exercise for ABREL, enabling the Company to pursue growth opportunities in its core business—real estate. The move allows the company to streamline its operations and focus on its core real estate portfolio.

Century Pulp and Paper was established in 1984 as one of the pioneers in the Paper industry, manufacturing Paper, Board, Tissue and Pulp products at one of the largest single-location integrated manufacturing facilities. The facility has a total finished product capacity of 4.81 Lakh MTPA, backed by the manpower of 6000+ people.
